Terms of Service
1. Overview
These Terms of Service (“Terms”) govern your access to and use of VerC’s website, services, tools, and analytical outputs, including the Carbon Procurement Intelligence (CPI) methodology, the Applied Carbon Economics™ (ACE) model, the Carbon-Adjusted Total Cost (CATC) calculations, and the Optimal Supplier Selection Brief (OSS Brief) (collectively, the “Services”).
By using VerC’s Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree, you must not use the Services.
2. Nature of Service
VerC provides analytical, modeling, and decision-support services for procurement and finance teams. VerC:

Recalculates supplier emissions under a standardized financial model

Converts emissions data into carbon-adjusted cost outputs (CATC)
-
Provides RFQ-level decision briefs (OSS Briefs)
-
Delivers carbon cost-risk assessments for CBAM/ETS-aligned procurement
VerC is not:

A sustainability reporting tool
-
A carbon calculator
-
A regulatory authority
-
A law firm or tax advisory service
-
A software platform requiring installation
All Services are informational and decision-support tools, not formal legal, tax, or financial advice.
3. Eligibility
To use the Services, you must:

Be at least 18 years old

Act on behalf of a business or organization
-
Have authority to submit supplier or company information
-
Comply with all applicable laws and regulations, including CBAM/ETS obligations
VerC reserves the right to refuse service where compliance concerns arise.
4. Client Responsibilities

To deliver accurate CATC and CPI outputs, VerC requires specific supplier and RFQ data. By using VerC’s Services, you agree to:

Provide accurate information to the best of your knowledge

Submit supplier documentation (emissions declarations, grades, origins) that you have the right to share
-
Not submit information that violates confidentiality imposed by third parties
-
Accept that VerC cannot validate data not provided or deliberately withheld
-

You remain responsible for procurement decisions and contractual obligations.
5. Data Handling & Confidentiality

VerC handles all client data under strict confidentiality protocols. VerC will not:

Sell, trade, or resell your supplier or RFQ data
-
Share your data with external parties
-
Use your data in public materials without your explicit consent

VerC may internally anonymize data to improve analytical models.

You retain ownership of all data you provide.

6. Payment & Billing

For paid Services (e.g., CPI projects, OSS briefs, CATC analysis):

Fees are disclosed during the ordering or contracting process

Payments are due upfront unless otherwise agreed

Fees are non-refundable once an analysis has begun or a deliverable has been produced
-

VerC may offer introductory pricing or limited-time offers for early clients.

Failure to pay may result in suspension or termination of Services.
7. Deliverables & Output Accuracy

VerC provides analytical outputs including:

CATC calculations
-
Defensibility packets
-
Supplier comparisons
-
Cost-risk assessments
-
OSS Briefs

While VerC uses standardized verification and modeling processes (ACE), the accuracy of outputs depends on the quality and truthfulness of supplier data provided by clients.

Clients understand and agree that:

VerC does not guarantee the correctness of supplier-provided emissions data
-
CATC outputs are estimates generated using recognized methodologies, not certified emissions values
-
Regulatory interpretations may evolve, impacting assumptions
-
VerC is not liable for procurement decisions made based on its outputs
-

You are solely responsible for validating final purchase, compliance, or contractual decisions.
8. Intellectual Property

All models, frameworks, outputs, and concepts including but not limited to:

Applied Carbon Economics™ (ACE)

Carbon Procurement Intelligence (CPI)

Carbon-Adjusted Total Cost (CATC)

Supplier Integrity Signals

The Defensibility Packet
-
The Optimal Supplier Selection Brief™

Any page content, copy, design, branding, or images

Are the exclusive intellectual property of VerC and cannot be copied, reproduced, reverse-engineered, or redistributed without written permission.

You receive a right to use deliverables internally, not redistribute or commercialize them.
9. Prohibited Use

Clients must not:

Reverse-engineer, replicate, or recreate VerC’s models
-
Misrepresent VerC’s outputs as regulatory certificates
-
Use the Services to violate CBAM, ETS, or any regulatory rules
-
Attempt unauthorized access to VerC systems
-
Use the Services for competitive intelligence or model extraction
-

Violations may result in service termination and legal action.
10. Limitation of Liability

To the maximum extent permitted by law:

VerC is not liable for financial losses, procurement errors, regulatory penalties, or business decisions made by clients

VerC provides decision-support, not legal or financial guarantees

All Services are provided “as is”

VerC’s total liability will never exceed the amount paid by the client for the relevant service.
11. No Legal or Regulatory Advice

VerC does not provide:

Legal advice
-
Tax advice
-
Formal regulatory interpretations
-
Official emissions verification
-
Certification or auditing services
-

Clients should consult qualified legal or compliance professionals for regulatory decisions.
12. Service Modifications

VerC may:

Update methodologies (ACE Model updates)
-
Adjust assumptions to align with CBAM/ETS rule changes
-
Modify or discontinue certain services
-
Update pricing or delivery timelines
-

Material changes will be communicated to active clients.
13. Termination

VerC may suspend or terminate service if:

A client violates these Terms
-
Provided data is fraudulent or unlawfully shared
-
Non-payment occurs
-
Misuse of intellectual property is detected

Clients may terminate ongoing service engagements unless the analysis phase has already begun.
14. Governing Law

These Terms are governed by the laws of Vishakhpatnam, In (or your preferred jurisdiction — confirm which you want).

Any disputes will be resolved in the courts of the chosen jurisdiction.
